These Terms of Service (the "Terms") govern your access to and use of the Quilias service (the "Service"). By accessing or using the Service, you agree to be bound by these Terms.
You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. You must promptly notify us of any unauthorized use or suspected security incident.
You retain all rights to the data you submit to the Service ("Client Data"). We will not access or use Client Data except to provide and secure the Service or as required by law. Each customer’s environment is hosted on a separate, logically-isolated VPS instance with no network access to other customers’ environments.
Quilias and its licensors own all right, title, and interest in and to the Service, including all software, documentation, designs, interfaces, and underlying intellectual property (collectively, "Quilias IP"). Except for the limited rights expressly granted in these Terms, no rights are granted to you. You agree not to acquire or claim any ownership or other rights in the Quilias IP, and you agree not to use any part of the Service to create a competing product or to otherwise misappropriate or "take" our IP.
The Service may rely on third-party hosting, email, backup, or other providers. Your use of such third-party services may be subject to their terms. We are not responsible for third-party services we do not control.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT PAID BY YOU TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
You agree to indemnify, defend, and hold harmless Quilias and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service or violation of these Terms.
We may suspend or terminate your access to the Service for material breach of these Terms or for security reasons. Upon termination, your right to use the Service ceases. Sections intended to survive (including Intellectual Property, Disclaimers, Limitation of Liability, and Governing Law) will survive termination.
These Terms will be governed by and construed in accordance with the laws of your primary business jurisdiction or, if specified in an order form or separate agreement, the laws of that stated jurisdiction, without regard to conflict of law principles. Venue for disputes will be in the courts having jurisdiction over the governing venue. You and Quilias consent to personal jurisdiction in such courts.
We may update these Terms from time to time. If we make material changes, we will notify you by updating the "Effective Date" below and, where appropriate, by additional notice within the Service. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
